These terms govern the use of the BaySmith platform provided by BaySmith LLC ("BaySmith", "we", "us"). They apply both to repair shops that subscribe to the service and to vehicle owners who receive estimates, approvals and invoices through it.
BaySmith provides workflow software that helps a repair shop document findings, prepare estimates, obtain customer authorization, order parts, and issue invoices. BaySmith does not inspect, diagnose or repair vehicles, does not employ technicians, and is not a party to the repair agreement between a vehicle owner and a repair shop. The shop alone is responsible for the work performed, the prices it charges, and its compliance with applicable law, including California Bureau of Automotive Repair regulations.
If you receive an estimate through BaySmith, you may approve or decline each line individually. Work does not begin until the corresponding approval is recorded, and additional work discovered during a repair requires a separate approval from you. Your approvals, declines, signature and the time they were given are recorded and can be produced by your shop on request. Questions about the repair itself, its price, or its warranty should be directed to your repair shop.
Suggested labor hours and reference part prices displayed in the platform are informational and are drawn from published manufacturer information, public sources, supplier quotes and the shop's own settings. They are not a guarantee of the time a repair will take or the price a shop will charge. Every figure must be reviewed and confirmed by a person at the shop before it is sent to a customer. The shop sets its own labor rates and part markups.
Card payments are processed by Stripe. BaySmith does not receive or store card details and is not a party to the payment; funds are collected for the shop. Deposits and balances shown in the platform reflect what the shop has requested. Refunds, price disputes and warranty claims are handled by the shop.
Messages sent through the platform relate to a specific vehicle and repair. Recipients may reply STOP at any time to stop receiving texts; see the SMS consent page. Message and data rates may apply. We do not send marketing messages, and we do not sell or share mobile information with third parties for marketing.
A subscribing shop is responsible for: the accuracy of its business details, including its ARD registration number and, where applicable, EPA identification number; keeping user accounts and access under control; obtaining customer consent before sending messages; and the content of the estimates and invoices it issues. Access rights within the platform are assigned by the shop.
Repair records created in the platform belong to the shop and its customers. Authorization records are append-only: entries can be added but not altered or deleted after the fact, which is what makes them useful as evidence. Records are retained for at least three years, and a shop retains read-only access to and export of its records after a subscription ends. Personal information is handled as described in our Privacy Policy.
The platform may not be used to send unsolicited or marketing messages, to misrepresent who is sending a message, to record a person without the consent required by law, or to create estimates or invoices that misstate the work performed. We may suspend accounts that do so.
We work to keep the service available and accurate, but it is provided "as is". We are not liable for the outcome of any repair, for a shop's pricing or business decisions, or for indirect or consequential damages. Our total liability to a subscribing shop is limited to the fees it paid us in the three months preceding the claim. Nothing here limits liability that cannot be limited by law.
Subscription fees, included capacity and any pass-through costs are as agreed with the shop. Either party may end a subscription with notice; on termination the shop keeps read-only access and export of its records. We may update these terms and will post the new version here with a revised date; continued use after a change means acceptance.
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
